Terms of Service Agreement

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Customer”, “you”), and Intelliob Technologies Private Limited (“Intelliob”, “we”, “us”, or “our”), concerning your access to and use of the Intelliob website, as well as any other media form, mobile application, or cloud software services related, linked, or otherwise connected thereto.

By registering for an account, subscribing to any service, or clicking “I Agree” or similar indicators, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to all of these terms, you are expressly prohibited from using our services and must discontinue use immediately.

Electronic record: This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signature.

Statutory publication: This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require publishing the rules and regulations, privacy policy, and Terms of Use for access or usage of the domain name https://intelliob.com/ (“Website”), including the related mobile site and mobile application (hereinafter referred to as the “Platform”).

Platform Owner: The Platform is owned by Intelliob Technologies Private Limited, a company incorporated under the Companies Act, with its registered office at 1/3, Liliya Nagar, Off S.V. Road, Goregaon West, Mumbai – 400104 (hereinafter referred to as the “Platform Owner”, “we”, “us”, “our”).

Incorporated policies: Your use of the Platform, services, and tools is governed by these Terms of Use together with the applicable policies which are incorporated herein by reference, including our Privacy Policy, Refund & Cancellation Policy, Return & Exchange Policy, and Shipping & Delivery Policy. If you transact on the Platform, you shall be subject to the policies applicable to such transaction. Any terms proposed by you which are in addition to or conflict with these Terms of Use are expressly rejected by the Platform Owner and shall be of no force or effect.

Amendments: These Terms of Use may be modified at any time without assigning any reason. It is your responsibility to periodically review these Terms of Use to stay informed of updates. For the purpose of these Terms of Use, wherever the context so requires, ‘you’, ‘your’ or ‘user’ shall mean any natural or legal person who has agreed to become a user or buyer on the Platform.

ACCESSING, BROWSING OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING.

Intelliob provides a suite of business tools hosted on the cloud. The terms herein govern the use of all Intelliob products, including:

• MoneyFacts ERP: Cloud-based business accounting, inventory management, invoicing, and GST compliance software.
• PayCare Payroll & HRMS: Employee database management, salary processing, statutory calculation (PF, ESI, PT, LWF, Income Tax), and salary slip generation.
• Accord eHR: Enterprise human resource management tools and employee self-service portals.
• TimeMate: Employee time-tracking, attendance logs, shift rosters, and geolocation-verified attendance marking.
• BillGini: AI-powered business expense management, scanning, receipts recording, and audit trail tools.

We reserve the right to modify, suspend, or discontinue any product features, layout designs, or subscription plans at any time with prior notice where practicable.

To access our SaaS products, you must register for an Intelliob account. You agree to:

• Provide accurate, current, and complete organization and contact information during signup.
• Maintain the security and confidentiality of your login credentials (username, password, API tokens).
• Notify us immediately at info@intelliob.com in the event of any unauthorized account access or data breach.
• Take full responsibility for all activities, data updates, and transaction commands occurring under your account.
• Provide true, accurate, and complete information to us during and after registration, and remain responsible for all acts done through the use of your registered account on the Platform.

You understand that upon initiating a transaction for availing the Services, you are entering into a legally binding and enforceable contract with the Platform Owner for the Services. You agree to pay us the charges associated with availing the Services.

Your use of our Services and the Platform is solely and entirely at your own risk and discretion, for which we shall not be liable to you in any manner. You are required to independently assess and ensure that the Services meet your requirements. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness, or suitability of the information and materials offered on this Website or through the Services for any specific purpose.

Your Data Belongs to You: Intelliob does not claim any ownership rights over the data, files, records, profiles, or transaction sheets that you upload, enter, or store using our services (“Customer Data”). You retain 100% ownership of your business data.

License to Intelliob: You grant Intelliob a worldwide, royalty-free, non-exclusive license to host, copy, transmit, display, and process your Customer Data solely as necessary to provide, maintain, support, and secure the SaaS products on your behalf.

Accuracy of Customer Data: You are solely responsible for the accuracy, quality, integrity, legality, and reliability of all Customer Data. You represent that you have obtained all necessary consents from individuals (including your employees under the DPDP Act 2023) before uploading their personal data.

Subscription Plans: Access to our products is billed on a subscription basis (monthly or annually) according to the pricing plans posted on our website.

Trial Period: MoneyFacts ERP offers a 15-day free trial period. No credit card is required to begin the trial. If you do not subscribe at the end of the trial, your account will be locked and scheduled for deletion in accordance with our data retention schedule.

GST Invoicing: All subscription fees are subject to 18% Integrated GST (IGST) or Central/State GST (CGST/SGST) as applicable under Indian tax laws. A valid tax invoice including your business GSTIN will be provided upon payment.

Cancellation & Refunds: You may cancel your subscription at any time through the customer dashboard. Cancellation and refund requests raised within 7 days of purchase are considered under our Refund & Cancellation Policy. Beyond that window, fees paid are non-refundable for the active billing period and services will continue until the end of the paid cycle.

The following policies are incorporated into and form part of these Terms of Use. Please read them alongside this agreement:

• Refund & Cancellation Policy — cancellation requests are considered within 7 days of placing the order; approved refunds are processed within 15 days to the original payment method.
• Return & Exchange Policy — refund or exchange within the first 7 days from the date of purchase, subject to eligibility conditions and our verification.
• Shipping & Delivery Policy — cloud subscriptions are delivered digitally on payment confirmation; delivery is confirmed on your registered email ID. Any physical items are shipped within 7 days through registered domestic couriers or speed post.

In the event of any inconsistency between these Terms of Use and a specific policy above, the specific policy shall prevail in respect of the subject matter it governs.

You agree not to misuse our services or help anyone else do so. Specifically, you must not:

• Copy, decompile, reverse-engineer, modify, or distribute any part of the Intelliob software source code or proprietary assets.
• Use our systems to process, store, or transmit malicious code, scripts, spyware, or viruses.
• Bypass, disable, or breach any security filters, rate limiters, or authentication mechanisms.
• Input or process data that violates third-party rights, is defamatory, or is illegal under the Information Technology Act, 2000.
• Utilize automated crawlers or scraping scripts to extract code, dashboards, or other users' databases.
• Use the Platform or Services for any purpose that is unlawful, illegal, or forbidden by these Terms, or by Indian or local laws that might apply to you.

The contents of the Platform and the Services are proprietary to us and are licensed to us. You will not have any authority to claim any intellectual property rights, title, or interest in its contents, which include and are not limited to the design, layout, look, and graphics. You acknowledge that unauthorised use of the Platform or the Services may lead to action against you under these Terms of Use and/or applicable laws.

You agree and acknowledge that the Website and the Services may contain links to other third-party websites. On accessing these links, you will be governed by the terms of use, privacy policy, and such other policies of those third-party websites. These links are provided for your convenience and to provide further information.

Our products also integrate with third-party systems — payment gateways, GST Suvidha Providers, e-invoicing and e-way bill portals, banking interfaces, and communication providers. Availability, pricing, and performance of those systems are governed by their own terms, and we are not responsible for their acts, omissions, or downtime.

Uptime Target: Intelliob strives to maintain a 99.9% uptime availability for cloud databases, excluding scheduled maintenance windows (which are typically announced 48 hours in advance and executed during low-traffic weekend hours).

Technical Support: Support is available to active subscribers through the contact portal, email support (support@intelliob.com), and telephone (+91 9324088857) during our business hours of Monday through Friday, 10:00 AM to 6:00 PM IST.

Indemnity: You shall indemnify and hold harmless the Platform Owner, its affiliates, group companies (as applicable), and their respective officers, directors, agents, and employees from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms of Use, the Privacy Policy, and other policies, or your violation of any law, rules, or regulations, or the rights (including infringement of intellectual property rights) of a third party.

Force Majeure: Notwithstanding anything contained in these Terms of Use, the parties shall not be liable for any failure to perform an obligation under these Terms if performance is prevented or delayed by a force majeure event — including acts of God, natural disasters, epidemics, war, civil unrest, strikes, governmental or regulatory action, failure of internet backbone or power infrastructure, or failure of third-party cloud, telecom, or payment providers.

Filing Responsibility Disclaimer: Intelliob provides tools for processing employee payroll, TDS calculations, and GST invoices. However, the final review, verification, and formal filing of tax returns, PF/ESIC deposits, and financial accounts remain the sole legal responsibility of the Customer. Intelliob is not liable for penalties, fines, or interest charged by tax authorities (e.g., GSTN, Income Tax Department, EPFO) due to input errors or system calculations.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INTELLIOB TECHNOLOGIES OR ITS DIRECTORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REVENUE). OUR TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT IS STRICTLY CAPPED AT THE FEES PAID BY YOU TO INTELLIOB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law: These Terms of Service and your use of our products are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Arbitration: Any dispute, controversy, or claim arising out of or relating to this agreement shall be referred to and finally resolved by arbitration in Mumbai in accordance with the Arbitration and Conciliation Act, 1996. The tribunal shall consist of a sole arbitrator, and the language of arbitration shall be English.

Jurisdiction: Subject to arbitration, the courts located in Mumbai, Maharashtra, India, shall have exclusive jurisdiction over all disputes arising out of these terms.
